Athena Advisory Collective Service Agreement
This Service Agreement (“Agreement”) is effective as of the date the Client subscribes to or uses Athena Advisory Collective’s services and is attached to each invoice for reference. By continuing to use our services, the Client agrees to the terms outlined herein.

  • Athena Advisory Collective (“Service Provider” or “Athena”), a company incorporated under the laws of Colorado.
Client and Service Provider are collectively referred to as the “Parties” or individually as a “Party.”
1. Scope of Services and Terms
Athena Advisory Collective provides strategic business advisory services, which may include business advice, coaching, training, and related services, as outlined in the agreed-upon Service Proposal or Order. Services are delivered in two formats:
  1. Ongoing Advisory (Subscription-Based): Clients receive ongoing support based on the service level selected (Foundation, Growth, or Executive). These engagements are provided over a specified period and typically include at least two sessions per month.
  1. Project-Based Advisory: For clients seeking support on a defined scope of work, Athena offers short-term, project-based engagements such as the Fractional Strategy Block. These services are structured around a mutually agreed number of hours and focused on a specific set of priorities. Project-based work does not include ongoing advisory unless otherwise specified.
Athena does not guarantee specific business outcomes or the achievement of particular goals.
Any additional services beyond those listed in the original agreement must be mutually agreed upon by the Parties in writing.
2. Fees & Payment Terms
Subscription Fee: The Client agrees to pay a recurring monthly fee based on the service level selected. Payments will be automatically charged on the first day of each month via credit card or ACH transfer.
Project Fee: For project-based advisory services, the Client agrees to pay based on the number of hours selected in advance. Payment is required upfront and will be invoiced upon execution of the project agreement. Additional hours must be approved in writing and will be invoiced separately.
Expenses: Any business-related expenses incurred by Athena (e.g., travel, accommodation, materials) will be reimbursed by the Client, provided such expenses have been pre-approved in writing.
Late Payments: If the Client’s payment is more than 5 days late, a late fee of $100 or 1.5% of the overdue amount (whichever is greater) will be applied. Athena reserves the right to suspend services until payment is received.
Platform Access Fee: Following termination, if the Client chooses to retain access to Athena’s platform for up to 15 users, they agree to pay $300 per month. This includes one 60-minute check-in session per year.
Fee Adjustments: Athena reserves the right to review and adjust fees annually, with 45 days' written notice to the Client.
3. Term of Agreement
The initial term of this Agreement is as follows:
  • Advisory Services (Subscription-Based): 12 months from the Effective Date, automatically renewing on a month-to-month basis unless terminated as provided in Section 4.
  • Sales Enablement Projects: 6 or 12 months from the Effective Date, depending on the scope and timeline of the training deployment, as outlined in the Service Proposal or Order. The term will be specified in writing prior to project launch.
  • Project-Based Advisory (e.g., Fractional Strategy Blocks): The term begins on the Effective Date and continues until the agreed-upon hours or deliverables are completed. Project-based work does not renew automatically.
4. Termination & Early Termination
  • Termination After Initial Term: After the initial agreed upon term, either Party may terminate this Agreement by providing 30 days' written notice. If termination occurs after the billing cycle, one additional billing will be charged before termination.
  • Early Termination: If the Client terminates the Agreement during the initial term, they will be liable to pay 50% of the remaining contract value as an early termination fee.
  • Termination for Breach: Either Party may terminate the Agreement for material breach with 30 days' written notice. The Agreement will be terminated if the breach is not cured within the 30-day period.
  • Post-Termination Platform Access: After termination, the Client may continue to use Athena’s platform for $300/month for up to 15 users. The Client may terminate platform access with 30 days' notice.
5. Session Scheduling & Cancellation
  • Session Frequency: Meetings will be held monthly at a frequency defined by the service level (at least two sessions per month for the Foundation, Growth, or Executive plans).
  • Cancellation Policy: The Client must provide at least 24 hours’ notice to cancel or reschedule a session. If notice is not provided, the Client will be charged for the missed session as a no-show.
6. Client Obligations
  • Provide Accurate Information: The Client agrees to provide all necessary and accurate information, documents, and materials to allow Athena to perform the services efficiently. Athena is not responsible for delays caused by incomplete or inaccurate information.
  • Timely Communication: The Client will respond to requests for feedback, information, or approvals within 2 business days to ensure efficient service delivery.
7. Confidentiality
Both Parties agree to keep all non-public and proprietary information disclosed during the term of this Agreement confidential. Neither Party will share any confidential information with third parties without prior written consent, unless required by law.
This confidentiality obligation extends for 2 years after termination of the Agreement.
8. Intellectual Property
All intellectual property, including materials, training content, documentation, and advisory tools provided by Athena, remain the property of Athena Advisory Collective. The Client is granted a non-exclusive, non-transferable license to use these materials for internal business purposes, subject to full payment of fees.
9. Non-Solicitation
The Client agrees not to solicit, hire, or engage any employees, contractors, or consultants of Athena for a period of 2 years following the termination or expiration of this Agreement.
10. Limitation of Liability
Athena’s total liability for any claims arising from this Agreement is limited to the total amount paid by the Client during the 6 months preceding the event giving rise to the claim. Athena will not be liable for any indirect, consequential, or punitive damages, including lost profits, loss of data, or business interruptions.
11. Indemnification
The Client agrees to indemnify and hold harmless Athena and its employees from any claims, liabilities, losses, damages, or expenses arising from the Client’s breach of this Agreement, including inaccuracies in information provided or actions that result in legal liabilities.
12. Dispute Resolution
If a dispute arises out of this Agreement, the Parties agree to attempt to resolve it through mediation in accordance with the rules of the American Arbitration Association. If the dispute cannot be resolved through mediation, it will be settled by binding arbitration.
13. Governing Law
This Agreement will be governed by and construed in accordance with the laws of the State of Colorado. Any disputes arising out of this Agreement will be litigated or arbitrated in the courts located in Colorado.
14. Entire Agreement
This Agreement, including any associated schedules, proposals, or orders, represents the entire agreement between the Parties and supersedes all prior discussions or agreements.
15. Acceptance of Terms
By signing up for or subscribing to any of Athena Advisory Collective’s services, the Client acknowledges and agrees to these Terms of Service. This Agreement becomes effective upon the Client’s registration and continued use of the services constitutes acceptance of these Terms.
